Our services are available to users who are 18 years of age or older. By creating an account, you confirm that you meet this age requirement and that you have the legal capacity to enter into these Terms. By using Soppiya’s platform, you agree to: Use our services responsibly, ethically, and lawfully. Refrain from using our platform to distribute harmful or illegal content. 1. User Responsibilities and Proper Use

As a customer of Soppiya, you agree to use our Services responsibly and in compliance with all applicable local, national, and international laws and regulations. Prohibited uses of our Services include, but are not limited to, the distribution of harmful or illegal content, engagement in fraudulent activities, misrepresentation of products or services, or any conduct that violates legal standards or infringes on the rights of others. If Soppiya becomes aware of any prohibited use of the Services, we reserve the right to immediately and permanently ban the offending store. This ban applies specifically to the store engaged in improper activity; however, other stores under your account may remain active if they comply with these Terms.

2. Data Collection and Privacy Compliance

Soppiya collects certain data from both our Customers (eCommerce business owners) and their end-users as necessary to provide and improve our Services. We do not sell any data to third parties. Any data collected may be used internally to enhance our system and provide a better user experience for our Customers and their end-users. As a Customer, you are responsible for complying with applicable data privacy laws, including but not limited to GDPR and CCPA, regarding the collection and handling of any data you gather from your end-users. You agree to obtain any necessary consent from your end-users and to uphold their rights under applicable privacy laws.

3. Intellectual Property Ownership and Content

Soppiya retains ownership of all original content, designs, and materials provided by our team as part of the Services. However, we acknowledge that all content, designs, and materials generated or customized by you or your authorized users on our platform belong solely to you. You retain all rights to your original designs and materials, and Soppiya claims no ownership over any user-generated content. You are responsible for ensuring that any content uploaded or created on our platform complies with all relevant intellectual property laws.

4. Payment Terms and Service Suspension

Our Services are activated on a prepaid basis. Customers must make advance payments to access the Services. To avoid service interruptions, long-term subscription options are available. Customers who do not maintain a positive account balance may experience suspension of service. Soppiya reserves the right to suspend or terminate Services immediately and without prior notice if we find that the Customer’s use violates local, national, or international laws, or if requested by a legal authority. Such suspension or termination is conducted at Soppiya’s sole discretion.

5. Limitation of Liability and Indemnification

To the fullest extent permitted by law, Soppiya and its affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of our Services or any actions taken by us under these Terms. This includes, but is not limited to, loss of revenue, data, or anticipated profits, regardless of whether we were advised of the possibility of such damages. You agree to indemnify and hold Soppiya, its affiliates, officers, agents, and employees harmless from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of our Services, violation of these Terms, or infringement on any rights of a third party.

6. Modifications to Services and Terms

Soppiya reserves the right to modify or discontinue any part of the Services or update these Terms at any time, at our sole discretion. Such modifications may be made to improve our offerings or to comply with new legal requirements. We will post updates on our website, and any changes will take effect upon posting. By continuing to use our Services after changes are posted, you agree to the modified Terms. If you do not agree with the changes, you should discontinue use of the Services.

7. Refund Policy

Once a Customer has purchased a subscription and onboarded with Soppiya, they may request a full refund within 72 hours of the initial purchase. To initiate this process, you must contact our support team via email at sales@soppiya.com within the 72-hour period. Outside of this 72-hour window, Soppiya does not provide any refunds. The refund process can take upto 7 to 10 business days depending on the payment gateway used to process the payment. By using our Services, you acknowledge that all payments are final after the refund period and that continued use of our Services constitutes acceptance of this policy.

8. Account Creation and Security

Users are permitted to create only one account within the Soppiya system. However, a single account can manage multiple stores, each with the option to share specific store access with other users (subject to access limitations). Users should not share their primary account with anyone else, as this can lead to security and liability issues. Store owners may permit other users associated with their store to install third-party applications, which often require various permissions for data access. Store owners are responsible for any outcomes, including potential losses or data changes, resulting from third-party app installations, whether installed by themselves or an authorized user.

9. User Content and Conduct

Soppiya conducts regular content reviews to ensure compliance with our standards, including random checks on user-uploaded content. We also respond promptly to any reports of policy violations. Users must ensure their content complies with applicable laws and does not violate any third-party rights.

10. Third-Party Services and Links

When installing a third-party application, users will see a list of permissions required for the app to operate. Once granted, the app may access, edit, delete, or update data within the store as needed by the application. Soppiya assumes no liability for data alterations, losses, or any other impacts arising from third-party app usage.

11. Termination of Service

In cases where Soppiya must terminate a service, any refunds will depend on the severity of the policy violation, if any, that led to the termination. Soppiya reserves the right to determine the refund amount, if applicable. If a customer wishes to appeal a termination, they may submit a written appeal by emailing us within 72 hours of the service termination. We will review the appeal and respond with a decision within five business days.

12. Service Availability and Technical Support

Technical support is available via email and phone (+8801624888999) around the clock, 24/7. Any customization requests may incur an additional charge, determined by the scope of the work. Customization requests must be initiated via email, and we will provide a quote and timeline based on the specific requirements.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Bangladesh. You agree that any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.

14. Waiver and Assignment

Should Soppiya undergo a merger, acquisition, or transfer of ownership, the succeeding entity assumes all responsibilities and liabilities for existing customer accounts, including continued provision of the agreed-upon services.

15. Payment Terms and Service Continuity

If a merchant fails to make the necessary payment before the end of their subscription period, the following terms will apply:


Data Retention: Soppiya will retain the merchant's data for up to 3 months (90 days) after the subscription expires. However, during this time, the merchant will not have access to the service or their account functionalities.


Renewal Within 1 Month: If the merchant renews their plan within 1 month (30 days) after the subscription period ends, they will only be charged the standard subscription cost for the upcoming term.


Renewal After 1 Month: If the merchant renews their plan between 1 and 3 months after the subscription period ends, they will need to pay the subscription fee for the entire unlicensed period (the time the subscription was inactive).


Failure to renew within the 3-month retention period will result in permanent deletion of the merchant's data. Once deleted, the data cannot be recovered.
